Hermina Held Annual and Extraordinary GMS

Jakarta, April 30, 2019 – PT Medikaloka Hermina Tbk (“Hermina”, “the Company”) held the 2018 Annual General Meeting of Shareholders (GMS) as well as the Extraordinary GMS for the first time as a public company following its shares listing on the Indonesia Stock Exchange (IDX) on May 16, 2018. During the GMS, the Board of Commissioners and Directors of Hermina explained the Company’s good performance which recorded business growth throughout the year 2018.

The Annual and Extraordinary GMS was attended by all Board of Commissioners and Directors of Hermina. In the meeting chaired by the President Commissioner of Hermina, dr. Paulus Kusuma Gunawan, the Board of Commissioners and Directors explained five meeting agenda such as approval and ratification of the Company’s annual report for fiscal year 2018; determination of the utilization of the Company’s net income for fiscal year 2018; report and accountability on the realization of the use of proceeds from the public offerings; appointment of Public Accountant as auditor for fiscal year 2019; and determination of the remuneration of the Company’s Board of Directors and Board of Commissioners

The five agenda of the Annual GMS were approved by the Company’s shareholders. Meanwhile, the Extraordinary GMS discussed the approval of amendments to the Company’s Articles of Association concerning the Purpose and Objectives as well as Business Activities of the Company, which also received approval from the shareholders.

There are no changes in the composition of Board of Commissioners and Directors of Hermina which as follows:

Commitment to Expand Access to Health Services

Hermina continues to expand the range of services to improve the quality of healthcare in Indonesia. President Director of Hermina, dr. Hasmoro, stated, “The Company has a commitment to expand the range of services, generate sustainable growth, and improve healthcare services to the community.”

Hermina was founded in 1985 and has grown as one of the largest private general hospital groups in Indonesia. As of December 2018, the Company has a network of 32 hospitals across 20 cities in Indonesia with 3,378 operational beds and supported by more than 3,200 doctors and specialists. Throughout 2018, Hermina Hospitals network has been trusted by 5.3 million outpatients and 310 thousand inpatients. As a general hospital, Hermina is also a market leader in women and children care segment. In 2018, Hermina medical personnel helped to deliver more than 45 thousand babies.

“Going forward, Hermina will continue to expand and provide the community with access to healthcare services by commiting to become the provider of Universal Healthcare Coverage (JKN) and adding four hospitals this year,” said dr. Hasmoro.

The positive performance achieved by Hermina in 2018 reflected a solid operational commitment and management capability. Based on the 2018 audited financial report, the Company recorded net income of Rp 3.06 trillion, an increase of 14.2% over the previous year. The company also recorded earnings before interest, taxes, depreciation, and amortization (EBITDA) of Rp 644.5 billion and net income of Rp 191.0 billion.

In 2018, Hermina Hospitals network recorded Bed Occupancy Rate (BOR) of about 65.8%, a relatively high figure considering that the Company has added approximately 600 beds throughout 2018. Total inpatient days increased by 23.9% at 776,700 days, with an average length of stay (ALOS) of 2.5 days. The shorter ALOS indicates a high operational efficiency of our hospitals.

Hermina’s Director of Finance and Strategic Development, Aristo Setiawidjaja, added that the Company managed to maintain a stable margin through economies of scale and consistent improvements to achieve efficiency in its operations. The Company has also proven its ability to navigate the challenges posed by JKN, including the temporary adverse rulings in the middle of 2018, by implementing the necessary strategy.

Hermina Hospitals network has served patients from JKN from the beginning of its inception. In 2018, JKN contributed to about 65% of the Company’s total inpatients and about 49% of the total outpatients.

Aristo added that Hermina was ready to take a greater role in suppressing the low penetration of healthcare services in Indonesia by expanding the scope of services for JKN. Currently, the number of JKN participants has reached about 218.9 million or 83% of Indonesia’s population.
